Professional General Terms and Conditions of Sale

Last updated: September 1, 2026

These Professional General Terms and Conditions of Sale, hereinafter referred to as "GTC", define the conditions applicable to sales concluded on our online store with customers acting exclusively within the scope of their professional activity.

Our store is reserved for registered professionals whose account has been previously validated.

Any validation of an order implies full and complete acceptance of these GTC in their version applicable on the date of the order.

Article 1 – Purpose and scope

These GTC govern all professional orders and sales made on our online store.

They apply exclusively to companies, traders, resellers, distributors and other professionals acting for the needs of their activity.

The creation or validation of a professional account does not, in itself, constitute an order.

Any order validated by the professional customer is subject to these GTC.

These GTC prevail over any purchase conditions of the customer, unless otherwise expressly agreed in writing by us.

Article 3 – Professional account

Access to professional prices and ordering features is reserved for customers with a validated professional account.

When requesting account opening, the customer must provide accurate, complete and up-to-date information.

We may notably request:

  • the company name or trade name of the business;
  • the SIREN or SIRET number;
  • the intracommunity VAT number, if applicable;
  • the professional address;
  • the contact details of the company's representative;
  • any supporting document allowing verification of the professional activity.

We may accept, refuse, suspend or deactivate an account when the information provided is incomplete, incorrect, fraudulent or does not allow confirmation of the professional activity.

Login credentials are personal and confidential. The customer must take all reasonable precautions to prevent their use by an unauthorized person.

Article 4 – Products

The essential characteristics, references, models, flavors, packaging and quantities of the products are indicated on the corresponding product sheets.

The photographs and representations of the products are intended to allow their identification.

Slight differences in color, printing, presentation or packaging may exist without constituting non-conformity when they do not affect the essential characteristics of the ordered reference.

Offers are available while stocks last.

Our catalog may change depending on arrivals, availability and modifications to the ranges.

Article 5 – Prices, packaging and minimum order

The applicable prices are those displayed to the customer after logging into their validated professional account.

Prices are expressed in euros excluding taxes (HT), unless otherwise stated. The applicable VAT is added according to the rate in force at the time of the order.

Any preparation, packaging, transport and delivery costs are indicated before final validation of the order when applicable.

Products are sold according to the packaging indicated on their product sheet, notably per box, pack, lot or carton.

The customer must respect the quantities corresponding to the packaging of each reference.

The general minimum order amount placed on our professional store is set at €150.

Checkout may be automatically blocked when the required minimum amount is not reached.

Discounts, promotions or special conditions applicable are those displayed on the site or expressly granted in writing.

They are neither automatically cumulative nor retroactive, unless otherwise indicated.

Our prices may change at any time. However, an already validated order will still be invoiced at the price applicable at the time of its validation.

Article 6 – Orders

Before validating their order, the professional customer must check:

  • the products and references selected;
  • the models and flavors;
  • the quantities and packaging;
  • the prices;
  • the billing details;
  • the delivery address;
  • any delivery costs;
  • the total amount of the order.

The order is considered definitively registered after receipt of full payment and confirmation of its processing, subject to necessary verifications.

We may refuse, suspend or cancel an order notably in the following situations:

  • unverifiable professional information;
  • payment incident;
  • reasonable suspicion of fraud;
  • unresolved prior dispute;
  • unavailability of a product;
  • obvious error in price or description;
  • order incompatible with an applicable regulatory restriction.

In the event of unavailability found after payment, we may offer a refund, a credit note or, with the customer's agreement, a replacement reference.

No substitute product will be shipped without the prior agreement of the professional customer.

Article 7 – Payment terms

Unless otherwise agreed in writing, full payment is due upon validation of the order.

The payment methods offered include:

  • credit card;
  • bank transfer.

The methods actually available are indicated during checkout.

For payment by bank transfer, order preparation begins after effective receipt of the full amount due.

Products are not definitively reserved before receipt of payment, unless otherwise agreed in writing.

The information necessary for the transfer is communicated during the order or by e-mail.

We never ask the customer to communicate the entire credit card number or cryptogram by e-mail.

Article 8 – Discount and late payment

No discount is granted for early payment, unless otherwise agreed in writing.

When a payment deadline has exceptionally been granted in writing, any delay may result, under the conditions applicable to relations between professionals:

  • the application of penalties calculated on the basis of the European Central Bank's refinancing rate, increased by ten percentage points;
  • a fixed compensation of 40 euros for recovery costs;
  • additional compensation when the actually incurred recovery costs exceed this amount and can be justified.

We may also suspend ongoing orders or temporarily deactivate professional access until full payment of overdue amounts.

Article 9 – Delivery

Deliveries are currently offered in Metropolitan France.

The order is shipped to the address indicated by the customer at the time of its validation.

The usual delivery time is estimated between 2 and 5 working days from the validation of the order and the receipt of payment.

This period is provided as an estimate and may vary notably depending on:

  • the availability of products;
  • the weight or volume of the order;
  • the delivery address;
  • the carrier's constraints;
  • public holidays;
  • periods of high activity;
  • exceptional circumstances.

Any delivery costs are communicated before the final validation of the order.

The customer is responsible for the accuracy of the information provided for delivery.

Additional costs resulting notably from an incorrect address, repeated absence or unjustified refusal may be charged to the customer.

A single order may be shipped in multiple packages.

For more information, please consult our Delivery Policy .

Article 10 – Receipt and verification of packages

Upon delivery, the professional customer must check, as far as possible:

  • the external condition of the packages;
  • the number of packages received;
  • the references and quantities;
  • the absence of visible damage or anomalies.

In the presence of visible damage, the customer must make sufficiently precise reservations with the carrier when possible.

Useful packaging, protections and labels must be kept in case of a claim.

Any visible preparation error, incorrect reference, missing quantity or apparent damage must be reported to us as soon as possible and, as far as possible, within 48 hours of delivery.

The complaint must be sent to: contact@wfaa.fr

It must include the information and supporting documents allowing to identify the order and the observed anomaly, notably photographs when relevant.

This procedure does not deprive the customer of any mandatory rights that may be applicable to a defect that could not reasonably be observed at the time of delivery.

Article 11 – Returns, claims and refunds

As sales are concluded exclusively between professionals, no return for simple change of mind, selection error or personal convenience is automatically accepted, unless otherwise exceptionally agreed in writing or by mandatory legal provision.

A claim may notably be examined when:

  • the product delivered does not match the order;
  • the quantity delivered is incorrect;
  • a product is missing;
  • a product is damaged;
  • a defect is established.

No product should be returned without prior written authorization.

The products concerned must be kept with their packaging, any accessories and their traceability elements during the examination of the request.

For reasons of hygiene, safety and traceability, opened, unsealed or used e-liquids and other affected products are normally not accepted for return.

This limitation does not apply notably when a defect is established, when an incorrect reference has been delivered or when a legal obligation imposes another solution.

When a claim is accepted, we may, depending on the situation:

  • replace the product concerned;
  • complete a missing quantity;
  • issue a credit note;
  • process a refund for the product concerned.

When the error or defect is our responsibility, the terms of coverage for any return are communicated to the customer upon authorization.

For more details, please consult our Return and Refund Policy .

Article 12 – Retention of title

We retain ownership of the goods sold until full payment of the price, taxes, and associated fees.

Until full settlement, the customer undertakes to keep the products concerned identifiable where necessary.

Failure to pay may result in the exercise of the rights attached to this retention of title under the conditions provided for by the applicable regulations.

Article 13 – Obligations of the professional customer

The customer declares that they are acting for the needs of their professional activity and are able to comply with the obligations applicable to the purchase, storage, presentation, and resale of the ordered products.

They are notably responsible for complying with rules relating to:

  • the marketing of vaping products;
  • the prohibition of sales to minors;
  • informing their own customers;
  • the storage and preservation of products;
  • traceability;
  • regulatory warnings;
  • tax and reporting obligations;
  • the rules applicable in the territory where the products are marketed.

The customer must not remove or modify batch numbers, warnings, packaging, or traceability elements when their retention is required.

Article 14 – Warranties

The products benefit from the warranties legally applicable to sales between professionals, particularly when the conditions for the warranty against hidden defects are met.

The customer must provide the information and supporting documents reasonably necessary for the examination of the alleged defect.

Subject to applicable mandatory rights, warranties do not cover damages resulting from:

  • misuse;
  • inadequate storage;
  • product modification;
  • non-compliance with applicable instructions;
  • normal wear and tear;
  • damage occurring after delivery;
  • marketing contrary to regulations.

Article 15 – Liability

Each party is responsible for the consequences directly related to its own failures under the conditions provided by law and these GTC.

To the extent permitted by applicable provisions, we cannot be held liable for indirect damages, particularly operating losses, loss of turnover, loss of customers, or indirect damage to commercial image.

Unless otherwise mandatorily provided, our liability that may be incurred under an order is limited to the established direct damages resulting from that order.

The limitations provided in these GTC do not apply when such a limitation is prohibited by law, particularly in situations of fraud, gross negligence, or bodily injury where applicable provisions so provide.

Article 16 – Force Majeure

A party cannot be held responsible for the non-performance of an obligation when it results from an event meeting the legal conditions of force majeure.

These situations may include:

  • a natural disaster;
  • a strike or major transport interruption;
  • a major outage affecting an essential service;
  • an administrative decision;
  • an exceptional shortage;
  • a major health crisis;
  • a conflict;
  • an exceptional failure of a supplier or carrier when the legal conditions are met.

Affected obligations are suspended for the duration of the event under the conditions provided by the regulations.

Article 17 – Personal Data

Personal data communicated may notably be used to:

  • verify the professional nature of the account;
  • manage the customer account;
  • process orders;
  • organize delivery;
  • issue invoices;
  • process requests and complaints;
  • comply with our legal obligations.

Full information concerning the processing carried out and the rights of individuals is available in our Privacy Policy .

Any questions regarding personal data can be sent to: contact@wfaa.fr .

Article 18 – Intellectual Property

The texts, photographs, logos, visuals, graphic elements, and other content present on our site are protected by the intellectual property rights of their respective owners.

They may not be reproduced, exploited, or used outside of authorized conditions without the prior consent of the holder of the rights concerned.

The purchase of products does not confer any intellectual property right over the associated brands, photographs, packaging, logos, or commercial materials.

Article 19 – Applicable Law and Dispute Resolution

These GTC and the sales to which they apply are subject to French law.

In case of difficulty, the parties are invited to seek an amicable solution first.

Any complaint can be sent to:

contact@wfaa.fr

Failing an amicable resolution, and when a jurisdiction clause is validly applicable between traders, any dispute relating to the interpretation, execution, or validity of these GTC falls under the jurisdiction of the Commercial Court of Bobigny, subject to applicable mandatory provisions.

Article 20 – Modification and Severability of the GTC

We may modify these GTC to take into account developments in our activity, our shop, or applicable regulations.

The conditions applicable to an order are those accepted by the customer at the time of its validation.

If a provision of these GTC were to be declared void, inapplicable, or without effect, the other provisions would continue to produce their effects to the extent permitted by law.
